These terms apply to your use of WhySource (whysource.net) to request sourcing services, submit enquiries and engage in business introductions. By using, you agree to these terms.
1. About Us
- WhySource is the sourcing and supplier-platform brand of Guangzhou WenXun Technology Co., Ltd., connecting overseas buyers with China's supply chain.
- We provide supplier development, factory audits, sampling, order follow-up, QC and logistics coordination; the scope and fees of specific services are per mutual agreement.
2. Service Description
- We provide sourcing coordination and information services; we do not manufacture goods ourselves nor sign goods-sales contracts as a party—actual transactions are concluded directly between you and the supplier.
- Product categories, capacity and prices shown on the platform are for reference only and do not constitute an offer.
- A written quotation issued separately by us is irrevocable for 30 days from the date of issue (Article 476(1) of the PRC Civil Code: an offer with a fixed acceptance period cannot be withdrawn); if not accepted within that period it lapses and must be reissued.
3. User Obligations
- You must provide truthful requirement and contact information and comply with destination-country import/export regulations.
- Use of the site for any unlawful, infringing or fraudulent activity is prohibited.
4. Intellectual Property
- Site content and brand marks (WhySource) are owned by or licensed to Guangzhou WenXun Technology Co., Ltd.
5. Limitation of Liability
- We provide sourcing coordination per agreement; we are not liable (within the bounds of reasonable care) for losses arising from supplier performance, logistics, customs or force majeure.
- Our liability is limited to the service fees actually collected (except where law does not allow limitation).
6. Governing Law and Disputes
These Terms are governed by the laws of the People's Republic of China. Disputes are first resolved through friendly negotiation. If negotiation fails, either party may file a lawsuit with the competent people's court at the company's domicile (Tianhe District, Guangzhou). Where the dispute has a cross-border element, the parties may also agree in writing to submit it to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration under its rules. The above agreement on jurisdiction and dispute resolution does not exclude any venue or statutory remedy you are entitled to under applicable law, and is brought to your attention in a prominent manner as required by Article 26 of the PRC Law on the Protection of Consumer Rights and Interests.
